SEG Event Services GmbH

 

Conditions of contract

All obligations of the Client (location manager, location management team, rental of the lighting, video and sound systems as well as various furniture, stage construction, decoration, set design, installations and transport of these systems, assembly and dismantling, etc.) as set out in the following General Terms and Conditions (hereinafter referred to as "T&Cs") are to be carried out as described.

The customer confirms these terms and conditions at least 14 days before the event by signing or written/oral confirmation of the written offer.

 

Terms and Conditions for Events Held under the T&Cs

1. The Client shall either be present at the Event itself or designate a contact person (hereinafter referred to as the "Location Manager") to supervise the Event on site. The location manager is fully accountable and vested with decision-making authority for the event by the client. SEG will appoint a representative (hereinafter referred to as "the SEG Representative") for the Event, who will be the point of contact for the Customer and the Location Manager.

2. The Location Manager shall provide the SEG representative with all necessary information for the services to be provided by SEG in connection with the Event. This includes, in particular, a (written or oral) description of the route and plans. These instructions and sketches must be submitted at least 5 days before the date of the event.

3. All instructions given by the SEG representative before, during and after the event are to be accepted by the client or the location manager. The customer's staff is obliged to follow these instructions to ensure the safety of the guests.

4. SEG must be given the opportunity to start setting up and preparing the setup to be provided by SEG at least 8 hours before the start of the event. If a specific time for the set-up has been individually agreed, this must be adhered to with a grace period of no more than 1 hour. The customer is responsible for the necessary power connections provided at the time of construction. SEG must be given the opportunity to carry out the complete dismantling no later than 5 hours after the end of the event. An earlier date of complete dismantling can be agreed individually, but must be agreed in advance with the SEG representative.

5. An accessible parking space for the material handler must be available within 100 meters of the center of the venue. The focal point of the venue must be agreed at least 12 days before the event.

6. For the loading and unloading of material, the Client shall ensure parking spaces for the relevant vehicles at a maximum distance of 30 metres from the centre of the venue.

7. A maximum of one (1) floor or one (1) basement is allowed for the transport of material without an elevator. Otherwise, a surcharge of 10% on the material price per additional floor will be charged. Alternatively, another solution can be negotiated in advance with the SEG representative.

8. All material provided by SEG for the event must be secured by the customer against adverse weather conditions. The customer is also obliged to notify SEG as soon as he becomes aware of a necessary longer stay of one or more SEG employees. In particular, temperatures below 7°C or over 30°C, rain, snow and storms are considered unfavourable weather conditions. In the event of non-compliance with the aforementioned duty of protection and notification, SEG is entitled to take protective measures, even if these lead to an interruption or termination of the event. In such cases, any additional costs will be borne by the customer.

9. The Client shall ensure that the operation [WF1] is easy and that the stage and backstage area is secured against unauthorised entry.

10. Security Personnel (as defined in the Terms and Conditions) is made up of male/female persons between the ages of 20 and 40 who are of full mental health (i.e. not under the influence of alcohol, narcotics or other illegal substances and are free of mental illnesses that could affect their mental capacity) and who are subject to the instructions of SEG and the Location Manager. The security personnel must ensure the general security at the event, in particular the safety of the persons working at the event and participating in the event as well as the security of the event material.

11. The Client shall provide one (1) member of the security staff for each individual stage; an assigned member of the security staff can only be responsible for the security of a single stage. If this condition is not met, SEG may appoint a person responsible for security, who will be invoiced to the customer.

12. Stage Hand for the purposes of the T&Cs is made up of male/female persons aged 20 to 40 who are of full sanity (i.e. not under the influence of alcohol, narcotics or other illegal substances and are free of mental illnesses that could affect their sanity) and who are subject to the instructions of SEG and the Location Manager. The stage staff is responsible for all set-up and dismantling activities on stage and at the event in all areas.

13. Depending on the size of the event, the customer must also provide an individually negotiable number of stage hands. These stage hands are exclusively available to the responsible SEG representative. Otherwise, SEG can provide the required stage hands itself and invoice the customer retrospectively.

 

Additional services provided by the customer

 

1. SEG requires All Area Access (AAA) passes for all SEG employees 12 days before the event. This also includes the SEG employees who are responsible for the assembly and dismantling, operation and maintenance of the lighting and sound systems.

2. SEG employees must be provided with sufficient non-alcoholic beverages. The details are to be agreed individually.

3. If the event lasts 8 hours or more, a free hot meal must be provided for all SEG employees. If these are not provided by the customer, the customer will be charged a meal allowance of € 27.50 per person retrospectively. Alternatively, crew catering can be arranged individually in advance.

4. The customer is responsible for cleaning the venue, especially the toilets. SEG does not provide cleaning services for event rooms.

 

Prices, due dates and payment

 

1. All prices quoted by SEG, whether oral or written, are exclusive of taxes and duties. For disc jockeys (DJs) and music bands arranged by SEG for the Client's event, the Client is obliged to pay all necessary fees, in particular the AKM.

2. SEG employees are billed per hour or part thereof. The price for SEG employees or the rental period of the material provided by SEG is valid for a maximum of 10 hours from the start of the event or the set-up and dismantling. Each additional hour that accrues before or after the scheduled time will be invoiced additionally. Adjustments to the GTC must be agreed with the management of SEG.

3. There can be no deductions from the invoice amount for the failure of individual equipment rented or provided by SEG for the event that does not work due to external influences or for unforeseeable and unavoidable reasons.

4. For existing customers (who do not order from SEG for the first time), 40% of the total price is due up to 12 days before the event, the balance must be paid within 12 days after the event.

5. For new customers (first order with SEG), 60% must be transferred to SEG's specified account up to 14 days before the event and 40% within 7 days of receipt of the invoice.

6. In the event of default of payment, 14% default interest shall be deemed to have been agreed upon from the due date.

 

Right of withdrawal of the customer

 

The customer is entitled to withdraw from the agreed order for whatever reason. The following cancellation conditions apply:

 

1. In case of cancellation after written ordering, 25% of the total amount will be charged.

2. In case of cancellation within 30 to 15 calendar days before the start of the set-up or delivery, 50% of the total amount will be charged.

3. In case of cancellation within 14 calendar days before the start of the set-up or delivery, 100% of the total amount will be charged.

4. Costs incurred for goods already ordered will be invoiced at an additional rate of 100% (e.g. prints, fabrics, carpets).

 

Liability & Warranty

1. The customer is liable for all damages caused to SEG employees, as well as for all damages to the materials provided by SEG for the event, in particular to the audio and lighting systems and accessory materials used for the implementation of the event. The customer is fully liable for all damages caused by his staff, event participants or other persons, as well as for those damages caused by natural causes (e.g. weather influences, storms, etc.). The customer must bear all costs arising therefrom, including all necessary acquisition and replacement costs, in full.

2. SEG excludes any liability for property damage and consequential damage to persons or third parties attributable to the customer and caused by event material, in particular by high volume or bright light. With regard to the volume level, SEG follows the instructions of the customer or the location manager. SEG expressly points out that the maximum noise levels set by the magistrate or the district administration or another competent authority must be complied with.

3. In addition, no claims for damages can be asserted against SEG and/or DI Todor Paytakov that are not due to the fault of SEG employees. Liability for slight negligence and consequential damage is excluded in any case.

4. The customer is obliged to indemnify and hold SEG or DI Todor Paytakov personally harmless with regard to all claims of third parties, in particular those arising from damages or alleged copyright infringements, which may arise through or in connection with the event.

Contractual penalties

1. In the event of non-compliance with individual provisions of the GTC or other additional contractual points applicable to the respective event that make it impossible for SEG to fulfil its obligations during the event, SEG is entitled to demand a contractual penalty in the amount of 5% of the total price.

2. For Stage Hands or Security contractually provided by the Customer, SEG is entitled to demand a contractual penalty in the amount of 180 EUR per Stage Hand or Security that is not present or not ready for use, if such Stage Hand or Security is not present or is in a non-operational condition (drunk, etc.) that makes assembly and/or dismantling considerably more difficult or requires the deployment of an additional person to ensure safety.

Final provisions

1. The Client warrants to SEG and/or Todor Paytakov that it has all the rights and permissions necessary to enter into the Agreement with SEG and to fulfil its obligations.

2. The customer is not entitled to assign the rights or obligations arising from the GTC or any other agreement with SEG to third parties in whole or in part, for consideration or free of charge, provided that DI Todor Paytakov has expressly agreed to this. In the event of the consent of DI Todor Paytakov, the Client and the third party (or third parties) shall be jointly and severally liable for compliance with the obligations towards SEG.

3. The content of the T&Cs or other agreements between the Customer and SEG shall not be subject to oral changes. No verbal side agreements were made. Changes, deviations and additions to these GTC must be made in writing and signed by the customer and DI Todor Paytakov. This also applies to a deviation from these requirements.

4. Austrian substantive law shall apply to these GTC and all disputes arising therefrom, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the court in Vienna with jurisdiction over the subject matter.
